PAYMENT:Payments are strictly due WITHIN 30 Days from the invoice issue date, this will be stated within the invoice provided to you, the customer by HMS. Payment terms must have been agreed prior to ordering by HMS in writing.
If payment is not received within our agreed payment terms then we reserve the right to withdraw credit and any discount given to the customer and where upon an interest charge for late payment will be applied (see credit) until the full payment is credited to HMS’s bank account. (Statements will be sent on request). Goods/services ordered on non-credit accounts will only be despatched/ provided once funds have cleared within HMS’s bank account. Please note that all transactions will be carried out in Sterling. HMS reserve the right to retain your order until payments have cleared and the delivery address has been confirmed. HMS also reserves the right to cancel any transactions, within reason. Please note card and cheque payments are not accepted.
ACCOUNT: HMS may only provide the customer with a credit account once an account form has been completed in full by the requestor. The customer will not be placed onto a credit account ordering basis until the required forms are completed, received and credit checked. Once your credit account has been authorised you will be advised of this. All orders received must be provided with a valid, signed purchase order number on a company letterhead or email, stating quantity, products, description and size. HMS accepts no responsibility for errors in ordering. For any items ordered in error which are required to be returned please see ‘RETURNS’ section.
ACCOUNT CREDIT: By arrangement only and then strictly within the agreed payment terms stated by HMS.
Healthmed Supplies reserves the right to charge interest at a rate of 8% (Late Payment of Commercial Debts (Interest) Act European Directive 2011/7/EU) above the base lending rate. As quoted by NatWest Bank PLC per annum and will be calculated on a daily basis on unpaid invoices from the date due, up to and including the date on which final settlement is made in full. We are also entitled to claim compensation for debt recovery costs from you and shall exercise our statutory right to claim this interest and compensation for debt recovery costs under the late payment legislation if we are not paid according to our agreed credit terms.
The below is calculated on a per invoice basis.
Up to £999.99 - £40
£1,000 to £9,999.99 - £70
£10,000 + - £100
Any payment made after the agreed payment terms will incur charges (as stated above) and may affect your credit rating, this could also remove any credit you have been given with HMS and all other invoices shall become due and you will be placed onto a None credit account. No third party terms shall apply.
TITLES: All goods remain under the title of HMS until full payment for the goods has been received by HMS. The risk of loss or damage/destruction to the products shall pass to the customer at the time of delivery. All goods must be kept or stored in accordance with the manufacturer instructions; this includes any temperature controlled items.
FORCE MAJEURE: HMS shall not be liable to the customer for any failure or delay in the delivery/ non- delivery of goods caused by any circumstances or events beyond their reasonable control; such as conditions owing to any act, including, without limitation: natural disasters, weather conditions, flood, explosion, fire, acts of God, loss, theft, accidental damage, shortage of supplies, lock outs, accidents, civil unrest, riots, strikes, industrial action, civil disturbance, war, hostilities, disease or an incorrect delivery address being provided. HMS will be entitled to a reasonable extension of time for performing such obligations and shall not be liable for any loss or damage occasioned to the customer thereby.
PRICES: These are quoted at the date of dispatch and may be subject to market fluctuation. Only HMS at their discretion have the right to offer discounted or special prices. HMS do not accept any liability for incorrect prices given, prices therefore may be subject to change. All prices are subject to VAT at the standard Governing rate and additional delivery or handling charges may be incurred.
WEEE (EU Directive 2002/96/EC). No WEEE surcharges are shown within the prices given, by its acceptance you agree to make alternative arrangements for disposal under the WEEE Legislation. Invoices which include special order lines will be invoiced to the customer once this item has been ordered by HMS as this item has been specially ordered for the customer. This is due to the item not being a ‘stocked line, please see ‘RETURNS’ for further information. Once despatched the order is unable to be cancelled. All samples required for laboratory analysis will also be invoiced to the customer at the time of despatch to the laboratory.
RETURNS: HMS is under no obligation or liability to accept any goods for return. Goods are to be returned by accepted arrangement only and must be agreed by HMS in email prior to return. Any goods authorised for return must be returned via an insured method within 3 working days from receipt of order, any associated return delivery costs are not covered by HMS. HMS accepts no responsibility for returned items lost/ damaged in transit. Goods must be unused and in their original packaging in a re-saleable condition. Any temperature controlled items, once authorised for return must be stored/ handled according to the manufacturer instructions. Items of health and hygiene are exempt from return unless faulty. Goods returned are subject to a 25% handling charge and/or a cancellation admin fee of 15% of the total goods value will apply. The same charge shall apply for refused delivery and also for customer error. Any items returned without prior authorisation from HMS will be rejected on delivery and any outstanding invoices will still apply. If items are receipted after return and are not authorised the customer will still be charged and return/ handling costs will apply. Your statutory rights are not affected.
SPECIAL ORDER LINES Goods ordered as a special order line (specially ordered in for the customer) cannot be accepted for return unless faulty, which HMS will investigate. Special order lines once ordered are unable to be cancelled and if we are able to, may be subject to a cancellation, handling or administration fee.
CLAIMS: Upon receipt of the goods the customer shall inspect them promptly. Claims for goods damaged in transit/ short delivery or discrepancy must be made to HMS within 3 working days of receipt of goods. HMS are not responsible or liable for any damage, deficiency or non-delivery of goods. Upon delivery of your order, the risk inherent in the goods is transferred to you (customer/ purchaser). We will not accept responsibility for misuse/ incorrect use of goods.
CREDIT NOTE: Should HMS raise a credit note to you this must be used within 6 months from the issue date. When used HMS will provide an updated statement of accounts. HMS is under no obligation to remind its customers when a credit note is due to expire. Credit notes are not transferable.
DELIVERY (SEE ALSO FORCE MAJEURE): Orders under £120.00 excluding VAT will incur a small order/ delivery charge of £15.00 excluding VAT to cover administration, packaging, postage and other associated costs. Orders over £120.00 (excluding VAT) shall be delivered free of charge to mainland UK**.
**Exceptions are bulky items, heavy items, certain furniture/ equipment or large volume orders which require several order consignments, deliveries will only be made to mainland UK and Northern Ireland where an extra carriage cost may be incurred by customer/ purchaser to include Scottish Highlands and Islands**. Any additional charges will be advised to the customer at the time of ordering. Deliveries will only be made to ground floor level due to Couriers terms and conditions. Congestion charges in specific London postcodes may incur an additional charge to cover any associated fees.
ACCEPTANCE OF CONDITIONS: This Contract constitutes the whole agreement between parties and supersedes any prior written or oral agreement between them. The purchaser confirms that they have not entered into this Contract on the basis of any representations that are not expressly incorporated into this Contract. No third party terms and conditions will be accepted by HMS. Unless expressly stated to the contrary by HMS in writing, these conditions shall be deemed to be incorporated in any Contract or order between HMS and any third party and shall be deemed to override any terms or Conditions, which are inconsistent with them which the purchaser may attempt to introduce. The placing of an order shall amount to an acceptance of these conditions. No variation to these Conditions shall be valid or enforceable unless agreed in writing and signed by senior manager/Director on behalf of HMS. Any special Conditions expressed by HMS in any quotation, specification, estimate, Contract, written acknowledgement or letter shall form part of these Conditions and in the event of any conflict or ambiguity such special Conditions shall prevail. There must be no unauthorised use of Healthmed Supplies/ HMS logo or products/ images without formal consent from HMS in writing.
DRUGS OF ABUSE PRODUCTS: HMS will provide drug screening and laboratory collection kits to the customer as ordered and at the prices specified. HMS shall have no responsibility if the drug screening or collection kit is not used before its expiry date or is not used correctly. No drug screening or specimen collection kit may be sold to another third party or submitted to another laboratory for testing without the prior written consent of HMS. Only drug screening tests and collection kits supplied by HMS will be submitted for laboratory confirmation. HMS accepts no responsibility for any adverse outcomes or actions taken as a result of the drug testing process.
ALCOHOL TESTING:HMS will provide the alcohol screening kits to the customer as ordered and at the prices specified. HMS shall have no responsibility if the alcohol testing kit is used outside of its calibration date or if it used incorrectly. It is the customer’s responsibility to decide when a calibration is required and if an accuracy check is required. No alcohol screening kit may be sold to another third party without prior permission of HMS.
LIABILITY: The purchaser shall indemnify HMS against all third party costs and expenses, against all claims (including any legal fees) relating to the use of goods or services. HMS shall not be liable to the customer/purchaser for any loss of contracts, income, earnings, profits or cover. HMS will also not accept any responsibility for any other consequential or indirect loss of any kind arising out of or in connection with these terms and conditions, however caused and whether arising under contract, tort, negligence or otherwise. This exclusion shall apply even if HMS has been advised of the possibility of such damage. These terms and conditions shall be governed by English law and the parties agree to the exclusive jurisdiction of the English courts.
NO RESPONSIBILITY IS ACCEPTED FOR ANY ERRORS/ OMISSIONS IN THIS DOCUMENT OR OTHERS PRODUCED BY HMS, INCLUDING BUT NOT LIMITED TO INVOICES AND QUOTES.
ANY ERRORS MAY BE CORRECTED WITHOUT LIABILITY AND THIS DOCUMENT MAY BE UPDATED AT ANY TIME BY HMS.
HEALTHMED SUPPLIES WILL NOT ACCEPT ANY CHANGES OR AMENDMENTS TO THE ABOVE TERMS AND CONDITIONS.
